3. Client Relationship
3.1 Project Commencement
Our work on your project will commence upon receipt of any agreed deposit payment and signed agreement. We reserve the right to refuse service to anyone for any reason at any time.
3.2 Client Responsibilities
You agree to:
- Provide accurate and complete information necessary for us to perform our services
- Review and provide feedback on our work in a timely manner
- Obtain any necessary permissions or rights for materials you provide to us
- Make payments according to the agreed schedule
3.3 Changes and Revisions
We allow for a reasonable number of revisions as specified in your project agreement. Additional changes or revisions beyond the agreed scope may incur additional fees. We will notify you of any such fees before proceeding with the additional work.
4. Intellectual Property
4.1 Your Content
You retain ownership of all content, materials, logos, and information you provide to us. You grant us a license to use such content solely for the purpose of providing our services to you.
4.2 Our Work
Upon receipt of full payment, we transfer to you the rights to the final deliverables created specifically for your project, except for:
- Third-party components (such as stock photos, plugins, or themes) which are subject to their respective licenses
- Our pre-existing work or tools
- General knowledge, techniques, or processes used in the creation of the deliverables
We reserve the right to display and link to your completed project as part of our portfolio and to describe our work on your project for promotional purposes, unless otherwise agreed in writing.
5. Payment Terms
5.1 Fees and Invoicing
Our fees and payment schedule will be outlined in our proposal or agreement. Unless otherwise specified, we require a non-refundable deposit before commencing work, with the balance due upon completion or according to agreed milestones.
5.2 Late Payments
Late payments may incur interest at the rate of 8% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to pause work on projects with outstanding payments.
6. Cancellation and Termination
6.1 Cancellation by Client
If you wish to cancel a project after work has commenced, you agree to pay for all work completed up to the point of cancellation, including any expenses incurred. The initial deposit is non-refundable.
6.2 Termination by Us
We may terminate our agreement if you breach any material term, including failure to make timely payments or provide necessary information or feedback. In such cases, you agree to pay for all work completed up to the termination date.

7.1 Acceptable Use
When using our website, you agree not to:
- Use the website in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of our website
- Use the website to transmit malware or other harmful code
- Impersonate any person or entity or misrepresent your affiliation with a person or entity

8. Warranties and Limitations

To the maximum extent permitted by law, our liability for any claim arising from our services or these Terms shall be limited to the amount you paid us for the services giving rise to the claim. We shall not be liable for any indirect, consequential, incidental, or special damages.

You agree to indemnify and hold harmless Silicon Canvas, its employees, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from your breach of these Terms or your use of our website and services.

Neither party shall be liable for failure or delay in performing obligations due to causes beyond their reasonable control, including but not limited to natural disasters, pandemics, government actions, or technical failures.
